By using the clockbeat.com web site ("Service"), a service of Clockbeat Ltd
("Clockbeat"), you are agreeing to be bound by the following terms and
conditions ("Terms and Conditions").

Clockbeat reserves the right to update and change the Terms and Conditions
from time to time without notice. Your continued use of the Service after
any changes shall constitute your consent to those changes. These Terms
and Conditions apply to the Service at the time you sign up and to any

Account Terms

   1. You must be a real person and provide your legal full name, a valid
   email address, and any other information requested in order to complete
   the signup process.
   2. You are responsible for maintaining the security of your account and
   password.
   3. You are responsible for all data entered and activity that occurs
   under your account (even when others who are using your account enter
   data).
   4. One person or legal entity may only have or use one free account.
   5. You must not use the Service for any illegal or unauthorized purpose.
   6. You must not abuse or threaten any Clockbeat employee.

Violation of any of these agreements will result in the termination of your
Account.

Payment, Refunds and Upgrading Terms

   1. A valid credit card is required for paying accounts. Free accounts
   are not required to provide a credit card details.
   2. The Service is  payable in advance on a monthly basis. There
   will be no refunds for partial months of service unused.
   3. All fees are exclusive of all taxes and duties and you are
   responsible for payment of all such taxes and duties.
   4. Once upgraded, the account cannot be downgraded. It must be paid at
   the new rate or cancelled.

Cancellation

   1. If you wish to cancel a paid account, you must cancel it from within
   the application. When you cancel, all data will be erased and no further
   payments will be collected. No other means of requesting cancellation
   will be accepted.
   2. Your account and all of its content will be immediately deleted from
   the Service upon cancellation.
   3. Clockbeat, at its sole discretion, may suspend or cancel your account
   and refuse future use of any Clockbeat service, for any reason at any
   time.

Changes to the Service and Prices

   1. Clockbeat reserves the right to modify or discontinue the Service (or
   any part thereof) without notice.
   2. Prices of all Services are subject to change on 30 days notice from
   us. That notice may be given by posting information on the site or
   email.
   3. Clockbeat shall not be liable to you or to any third party for any
   modification, price change, suspension or discontinuance of the Service.
   4. Free accounts may from time to time include advertisments on the pages
   displayed. Paid accounts will not include avertisments.

General Conditions

   1. Your use of the Service is at your sole risk. The service is provided
   on an "as is" and "as available" basis.
   2. Technical support is only provided to paying account holders and is
   only available via email.
   3. You agree not to copy or sell any part of the Service or access to
   the Service without the written permission of Clockbeat.
   5. You understand that in using the Service, your data, may be
   transfered unencrypted over various networks.
   6. If your bandwidth usage significantly exceeds the average bandwidth
   usage (as determined solely by Clockbeat) of other Clockbeat customers,
   we reserve the right to immediately disable your account.
   7. Clockbeat does not warrant that
   (a) the Service will meet your specific requirements or expectations,
   (b) the Service will be uninterrupted, timely, secure, or error-free,
   (c) the results obtained from the use of the Service will be accurate
   or reliable,
   (d) any errors in the Service will be corrected.
   8. You understand and agree that Clockbeat will not be liable for any
   damages of any kind resulting from:
   (a) the use or the inability to use the Service;
   (b) unauthorized access to or alteration of your data;
   (c) termination of your account;
   (d) any other matter relating to the Service.
   9. The failure of Clockbeat to exercise or enforce any part of the Terms
   and Conditions will not constitute a waiver of that part of the Terms
   and Conditions.
   10. The Terms and Conditions constitutes the entire agreement between
   you and Clockbeat.
   11. These Conditions and any contract into which these Conditions are
   incorporated, shall be governed by and construed in accordance with
   English law and the parties submit to the non exclusive jurisdiction of
   the English courts.
